1Agreement & Acceptance

These License Terms (the “Terms”) govern every license granted by Live Game Deals LLC d/b/a The Natural Aristocrat (“Licensor”, “we”, or “us”). Through them, the photographer Nir Regev licenses his editorial photography, published as The Natural Aristocrat®, to any person or entity that licenses a photograph from TheNaturalAristocrat.com (“you”, the “Licensee”). They form the basis of, and are incorporated into, each license we issue.

You accept these Terms, and enter into a binding agreement, by clicking or checking to accept them, or by completing an order or inquiry that presents them. You also accept them by downloading, accessing, paying for, or otherwise using any photograph or other content supplied by Live Game Deals LLC d/b/a The Natural Aristocrat (the “Content”). Whichever of these occurs first is the point of acceptance.

If you do not agree to these Terms, you must not access or use the Content.

If you accept these Terms on behalf of an employer, client, or other entity, you represent and warrant that you are authorized to bind that entity. You and that entity are jointly and severally responsible for compliance.

A License is a grant of limited permission to use the Content; it is not a sale of the Content and transfers no copyright or other ownership interest.

The Terms in effect when a License is confirmed govern that License; Live Game Deals LLC d/b/a The Natural Aristocrat may revise these Terms at any time in its sole discretion, and the revised Terms govern Licenses confirmed after they are posted.

2Definitions

In these Terms, the following capitalized terms have the meanings given:

• “Content” means the photograph or photographs licensed to you, together with any embedded caption, keywords, credit, watermark, and metadata.
• “License” means the specific, limited permission to Use the Content described in your Confirmation and granted under these Terms.
• “Use” means to publish, display, perform, transmit, broadcast, or store the Content, in whole or in part, on a website (including a social platform) or in a newspaper, magazine, book, television program, or film. Those are the only media in which the Content is licensed. This definition governs what requires a License; it grants nothing by itself, and a License authorizes only the specific Use, in the specific place, medium, and period, that your Confirmation describes.
• “Editorial Use” means use of the Content to illustrate matter that is newsworthy, factual, educational, or documentary, and that does not promote, advertise, or sell any product, service, cause, or entity.
• “Commercial Use” means any use that advertises, markets, promotes, endorses, solicits, or sells a product, service, cause, or entity, or that appears on merchandise, including advertising, sponsorship, advertorial, packaging, point-of-sale, and fundraising.
• “Authorized User” means you and, where you license on behalf of an entity, that entity and its employees acting within the scope of the License; it does not include any other person.
• “Release” means a signed model or property release, or other consent, permitting use of a person, place, work of art, or a third-party trademark or logo visible in the Content. It equally covers any other matter depicted in the Content. A brand’s signage or product appearing in the background is an example. A Release concerns that third-party subject matter only; it has nothing to do with the names, marks, or publications of Nir Regev or Live Game Deals LLC d/b/a The Natural Aristocrat, which are addressed under “Copyright & Ownership”.
• “Intellectual Property Rights” means copyright, moral rights, trademark, trade dress, and all other proprietary rights.
• “Confirmation” means the written quote, order, invoice, or email by which Live Game Deals LLC d/b/a The Natural Aristocrat confirms a License, its scope, and its fee.

Where a Confirmation states terms specific to a License, those specific terms govern that License; in all other respects these Terms apply. The words “including” and “such as” are illustrative and not limiting where they describe a restriction, obligation, reservation, or prohibition; wherever a right is granted to you, the rights granted are only those expressly named.

3Grant of License

Subject to your payment of the applicable fee in full and your continuing compliance with these Terms, Live Game Deals LLC d/b/a The Natural Aristocrat grants you a non-exclusive, non-transferable, non-sublicensable License to Use the Content. The License is limited to the purpose, the media, the period, and the territory described in your Confirmation.

Unless your Confirmation expressly states otherwise, each License is for a single, specified Use. Any further or different use (another medium, placement, product, platform, territory, or period) requires a separate License.

A License covers one named medium only: a License for a website does not permit use in a newspaper, magazine, book, television program, or film, and each other medium likewise requires its own License.

A License authorizes a single Use in a single article, story, page, post, or production. Using the same photograph again is a separate Use that requires its own License and fee.

This is so whether the reuse is in a further article or story, a later or revised edition, a reprint, another publication, section, or platform, or a renewed period. It applies even where an earlier Use of the same photograph was licensed to you.

For example, a social-media post is one post, one time. Posting the same photograph again, on the same account or any other, at any later time, is a further Use that requires its own new License each time.

The scope stated in your Confirmation is a condition of the License, not merely a covenant; using the Content outside that scope is both a breach of these Terms and an infringement of copyright. All rights not expressly granted are reserved to Nir Regev.

No License comes into effect, and you acquire no rights in the Content, until the fee has been paid in full and confirmed by Live Game Deals LLC d/b/a The Natural Aristocrat. The sole exception is a Confirmation that expressly grants credit terms, in which case the License takes effect, and remains conditioned on payment, as provided under “Pricing, Approval, Payment & Taxes”.

The Content is supplied as a finished digital photograph at a resolution suitable for the licensed Use; Nir Regev does not provide RAW, original, master, negative, or layered source files, and no License or print order includes them.

The Content is delivered through a private link that may be password-protected and that expires after a set time or number of downloads. The link is provided for your use alone, to obtain the file for your licensed Use.

You may not exceed the permitted number of downloads, re-download the Content after the link has expired, or disclose, forward, or otherwise make the link available to any other person.

4Editorial Licenses

The photographs of The Natural Aristocrat® are works of editorial photography and photojournalism. An Editorial License permits Editorial Use only, in these contexts alone: news, reporting, commentary, features, documentary, and educational use that informs rather than promotes.

An Editorial License does not permit Commercial Use of any kind. Advertising, sponsorship, advertorial, endorsement, promotion, packaging, merchandise, and any use that markets a product, service, cause, or brand fall outside it. A boosted, promoted, or sponsored social post, and any placement beside paid promotion, is Commercial Use.

Commercial Use requires a separate written License and your procurement of all necessary Releases, as described under “Releases & Clearances” below.

5Personal Licenses (Subjects)

If you are a person depicted in a photograph, you may obtain a Personal License to Use that photograph in connection with the event, appearance, or occasion depicted. The License covers your own personal, non-commercial, and non-monetized purposes, on the platforms named in your Confirmation.

A Personal License is limited to the platforms expressly named in your Confirmation, and those are drawn only from three categories.

The first comprises Instagram, Facebook, X, Threads, and Bluesky (for example, a post on your own account about the event). The second is your own personal, non-commercial website (for example, a performer’s own site at their name.com). The third is a personal, non-monetized slideshow on YouTube or TikTok (for example, a highlights slideshow on your own channel).

No other platform is available under a Personal License.

It does not extend to any platform not named, to any business, advertising, promotional, or revenue-generating use (including paid promotion, boosting, brand partnerships, or monetized accounts or websites), or to any endorsement. Nor does it extend to merchandise or any print offered for sale, or to resale or redistribution.

Each Personal License is granted for a single use at a single web address (URL). A further post, an additional URL on the same site, and any use on a further site or domain each require their own License.

Unless your Confirmation expressly states otherwise, a single Personal License does not cover more than one URL, or use across more than one site or domain.

6Exclusive Licenses

An Exclusive License grants you sole rights to Use a photograph for the purpose and period stated in your Confirmation. During that period, Live Game Deals LLC d/b/a The Natural Aristocrat will not license the same photograph to any other party for the same scope. Exclusivity is priced separately from, and in addition to, the underlying License.

Exclusivity is subject to a single reservation. As the author of the Content, Nir Regev retains at all times, including throughout the exclusive period, the right to publish and display each photograph as part of his own portfolio and editorial work.

That right extends across every website, publication, account, and other property of any kind that he or Live Game Deals LLC d/b/a The Natural Aristocrat now owns or operates or may later establish or acquire. That includes each site and subsite of The Natural Aristocrat® (TheNaturalAristocrat.com), NirRegev.com, and LiveGameDeals.com networks and his social-media accounts.

It also covers any book, magazine, newspaper, film, or television production of his own or of any company he owns, including Live Game Deals LLC d/b/a The Natural Aristocrat, in print or digital form, whether now existing or later created.

An Exclusive License does not transfer copyright.

7Prints

A print is a finished, physical photographic object, produced to order and shipped to you. A print is sold as an object only.

The purchase of a print conveys no License of any kind. It does not permit you to reproduce, scan, photograph, publish, broadcast, distribute, or otherwise Use the image the print depicts. Reproduction rights, if you require them, must be licensed separately.

The Natural Aristocrat® currently does not ship prints to New Jersey. It also does not provide video licensing in New Jersey, except to a broadcaster or video programming service in New Jersey licensing footage as content for its own programming, as the video License Terms provide. No print order that names a shipping address in New Jersey is accepted at this time. Photo licensing, the Aristocrat+ membership, and passes and other paid access remain available in New Jersey.

Production begins once payment has been received in full. Payment is final when made: once you have paid, the order may not be canceled and no part of the price will be returned.

All print sales are final. A print may not be returned or exchanged, its price is not refundable in whole or in part, and a change of mind is not grounds for a refund, a credit, or a reprint.

Title to a print, and the risk of loss or damage, pass to you when Live Game Deals LLC d/b/a The Natural Aristocrat delivers the print to the carrier. From that point the print travels under the carrier’s own tariff, insurance, and claim rules, and transit is the carrier’s responsibility, not that of Live Game Deals LLC d/b/a The Natural Aristocrat or Nir Regev.

A print lost or damaged in transit is a claim against the carrier. You must file that claim with the carrier yourself, within the deadline the carrier’s rules set, and notice of loss or damage is owed to the carrier, not to Live Game Deals LLC d/b/a The Natural Aristocrat.

If a print arrives damaged, keep the print and all of its packaging for the carrier’s inspection, photograph both, and report the damage to the carrier at once. Carriers decline claims where the packaging was discarded or the deadline passed.

On written request at licensing@thenaturalaristocrat.com, Live Game Deals LLC d/b/a The Natural Aristocrat will provide the proof of shipment and declared value a carrier claim reasonably requires. That cooperation is the whole of its role. Live Game Deals LLC d/b/a The Natural Aristocrat and Nir Regev owe no refund, no reprint, and no replacement for a print lost or damaged in transit. That claim lies against the carrier alone.

8Aristocrat+ Membership, Passes & Paid Access

Parts of the site, including photo galleries, videos, live channels, interviews, and premium articles, may be offered behind paid access. Paid access comes in two distinct forms: a pass, which is a one-time purchase, and the Aristocrat+ membership, which is a recurring subscription.

A pass is a one-time purchase, not a subscription. You pay once, you receive a personal, non-transferable right to view or watch the specific content it names, on the site, for the access window stated at purchase, and that is the whole transaction. It does not bill again, it does not renew, and it creates no ongoing relationship.

Unlocking one photo gallery for seventy-two (72) hours, renting one video on demand, and buying timed access to a live channel are each examples of a pass. Each is bought once, used for its window, and over.

A pass does not extend an Aristocrat+ membership, does not stack with one, and does not become one.

Aristocrat+ is the site’s membership program. It is a recurring subscription, billed until you cancel it, and it provides ad-free reading and access to the content designated for members from time to time.

A membership is tied to the account through which you subscribed. Its billing, renewal, and cancellation are managed by the subscription platform, not by Live Game Deals LLC d/b/a The Natural Aristocrat, and canceling stops renewal while access runs through the period already paid.

All paid access is limited in time. A pass grants access only for its stated window, a membership only while it remains active and paid, and when either ends, access ends with it. Nothing viewed while access lasted becomes yours to keep, and no pass or membership is unlimited or permanent.

Paid access is not a License. A pass or membership conveys no right to download, save, copy, screenshot, screen-record, rebroadcast, or otherwise capture or reproduce any content it makes viewable. Everything behind a pass or membership remains subject to these Terms in full, and licensing any of it requires its own License under “Grant of License”.

Access is for private, personal viewing on the site. You may not retransmit, re-stream, mirror, or publicly exhibit any stream, channel, or video. That prohibition includes any bar, venue, event, social gathering, or other public or group setting, and you may not present paid content to an audience of any kind.

Access is delivered immediately on purchase and is consumed on delivery. A pass is therefore non-refundable from the moment of purchase, and an unused window or a change of mind does not entitle you to a refund.

You may not share, resell, or transfer a pass or membership, share the account or link that carries one, or circumvent or assist anyone in circumventing any access control. Doing so forfeits, without refund, every pass and membership you hold, and Live Game Deals LLC d/b/a The Natural Aristocrat may bar you from purchasing paid access again.

You are also liable for what the sharing took. For each person who gained access through your sharing or circumvention, you owe Live Game Deals LLC d/b/a The Natural Aristocrat the price of the access that person should have bought. Where the conduct is also an unauthorized Use of the Content, every remedy under “Unauthorized Use & Enforcement” applies as well.

Paid areas may be revised, expanded, or withdrawn, and a pass applies to the content as offered during its window.

9Scope, Reservation & No Redistribution

Your License is personal to you and limited to Use by Authorized Users as described in your Confirmation. You may not sell, resell, rent, lend, sublicense, assign, or transfer the Content or your License to any third party.

Your License covers your own Use only. Any other publication, business, or person that wishes to use the same photograph must obtain its own License, and a License may not be shared, pooled, syndicated, or relied upon by anyone else.

In plain terms: you may not give, send, forward, or otherwise supply the delivered file to any other person, account, publication, or platform for them to post or use. Anyone who wants to post the photograph needs their own License from Live Game Deals LLC d/b/a The Natural Aristocrat.

You may not make the Content available as a standalone file. That means any form from which a third party could download, extract, copy, or redistribute the photograph itself, separately from its incorporation into your permitted Use.

Nir Regev and his licensors retain all right, title, and interest in the Content. Any right not expressly granted to you is reserved.

10Restrictions & Prohibited Uses

Except as expressly permitted by your Confirmation, you may not:

• Use the Content for any Commercial Use without a separate written License and all required Releases;
• Resell, redistribute, sublicense, lend, assign, or transfer the Content, or provide it to any third party as a standalone file;
• Screenshot, screen-record, screen-capture, photograph, or otherwise reproduce or save a copy of the Content in order to retain, redistribute, republish, or use it outside the scope of a License;
• Alter, edit, retouch, crop, recolor, re-tone, filter, enhance, upscale, composite, montage, or otherwise modify the Content by any means, whether manual or automated and including with any artificial-intelligence or machine-learning tool, or create any derivative work from it;
• Present the Content as your own work, or as the work of anyone other than Nir Regev, or claim any authorship, ownership, trademark, or other interest in it;
• Incorporate the Content into a logo, trademark, service mark, or design mark, or register it as such;
• Use the Content within a template, theme, or other design intended to be reproduced or distributed to others;
• Use the Content on any print-on-demand or merchandise product, including cards, mugs, apparel, posters, calendars, wallpapers, or similar items;
• Mint, embed, or include the Content in any non-fungible token, blockchain asset, or other immutable digital record offered for sale or distribution;
• Use the Content, its captions, or its metadata to train, fine-tune, develop, validate, or otherwise build any artificial-intelligence, machine-learning, generative, facial-recognition, biometric, or similar system, model, or dataset, or to input or ingest it into any such system;
• Use the Content in any pornographic, defamatory, libelous, fraudulent, harassing, or otherwise unlawful manner, or in connection with any subject in a way that would be defamatory to, or violate the rights of, a person depicted;
• Use the Content in any way that suggests endorsement, affiliation, or sponsorship by Nir Regev, Live Game Deals LLC d/b/a The Natural Aristocrat, or any person depicted, without written consent;
• Access, harvest, scrape, or download the Content by automated means, or hotlink, inline-link, frame, or circumvent any access, watermarking, or resolution control applied to it.

You may not access, crawl, spider, scrape, harvest, index, mine, cache, or bulk-download the Content or any page on which it appears, by any robot, bot, script, crawler, headless browser, or other automated or manual process.

This prohibition applies whether the purpose is to build, populate, train, or enrich any dataset, archive, index, model, or training corpus, or any other purpose.

You also may not bypass, disable, or interfere with any robots instruction, rate limit, paywall, watermark, access control, or resolution control applied to the Content.

Automated or systematic access of this kind is unauthorized access and a material breach of these Terms, and, where it copies the Content, an infringement of copyright. Live Game Deals LLC d/b/a The Natural Aristocrat, on its own behalf and as the authorized licensing representative of Nir Regev, will pursue every remedy available for that infringement, including injunctive relief together with statutory damages, attorneys’ fees, and costs.

11Image Integrity & Alteration

The Content must be published exactly as delivered.

You may scale the whole photograph proportionally to fit your layout, keeping its exact aspect ratio so that width and height change by the same factor. For example, you may reduce a 2,048-pixel-wide file to 800 pixels wide, with the height reduced in the same proportion, so the image is uniformly smaller but never stretched, squeezed, or cropped.

Beyond that proportional scaling, you may not crop, trim, resize out of proportion, retouch, recolor, re-tone, filter, enhance, sharpen, or upscale the Content. Nor may you restore, composite, montage, collage, redraw, or otherwise alter or modify it, in whole or in part, by any means. This is so whether the means are manual or automated.

This prohibition applies in full to any artificial-intelligence or machine-learning tool. You may not use any such tool to retouch, edit, enhance, upscale, restore, extend, recompose, modify, or generate any version of, variation on, or derivative of the Content.

No alteration is permitted even where it would not change the meaning or context of the photograph, and no License grants you any right to create a derivative work. Any change of any kind requires the prior written permission of Nir Regev.

12Copyright & Ownership

All photographs published by The Natural Aristocrat® are original works created and owned by Nir Regev. Copyright and all other intellectual-property rights in the Content are retained by Nir Regev at all times and are not transferred by any License or print sale. The Content is licensed through Live Game Deals LLC d/b/a The Natural Aristocrat, which Nir Regev has authorized to grant Licenses in it.

Nothing in these Terms limits, or will be construed to limit, the rights of Nir Regev or Live Game Deals LLC d/b/a The Natural Aristocrat in their own work. As author and copyright owner, Nir Regev may publish and display his photographs at all times and without restriction.

That right extends across every website, publication, account, and other property of any kind that he or Live Game Deals LLC d/b/a The Natural Aristocrat now owns or operates or may later establish or acquire. That includes each site and subsite of The Natural Aristocrat® (TheNaturalAristocrat.com), NirRegev.com, and LiveGameDeals.com networks and his social-media accounts.

It also covers any book, magazine, newspaper, film, or television production of his own or of any company he owns, including Live Game Deals LLC d/b/a The Natural Aristocrat, in print or digital form, whether now existing or later created.

You acquire only the limited rights expressly granted in your Confirmation and these Terms. No License grants any right or allowance of any kind to use The Natural Aristocrat®, or any other name, trademark, or mark of Nir Regev or Live Game Deals LLC d/b/a The Natural Aristocrat, for any purpose.

The sole exception is the required credit and tags described under “Credit & Attribution”, which you must publish exactly as specified and which confer no further right.

You agree not to challenge the validity of those names and marks, and you acknowledge their ownership by Nir Regev and Live Game Deals LLC d/b/a The Natural Aristocrat. You agree not to use, register, or attempt to register any of them, or any confusingly similar name, mark, domain name, or social-media handle, anywhere in the world.

Any goodwill arising from a permitted appearance of them accrues solely to their owner. Goodwill here means the reputation, recognition, and earned trust that attach to a name or mark and give it commercial value.

13Credit & Attribution

Credit is mandatory on every Use of the Content, whether or not a License fee has been paid. It must appear legibly and immediately adjacent to the Content, or, for audio-visual Use, in the production credits in a size and placement comparable to other credits.

Omitting the credit is never allowed. Credit is a non-negotiable condition of every Use and cannot be waived. No photograph may be posted or published without it, and no payment, license, or other arrangement confers any right to do so.

Unless your Confirmation specifies otherwise, the required credit reads, at minimum: Photo Credit: © Nir Regev / TheNaturalAristocrat.com. The preferred form includes the year: Photo Credit: © 2026 Nir Regev / TheNaturalAristocrat.com. Where the platform supports tagging, you must also tag the publication and the photographer: on Instagram, @thenaturalaristocrat and @nirregev3; on X, @aristocrat_the and @nirregev; on Facebook, @TheNaturalAristocrat and @nir.regev8; on Threads, @thenaturalaristocrat and @nirregev3; on Bluesky, @thenaturalarsitocrat.com, @naturalaristocrat.bsky.social, @nirregev.com, and @nirregev.bsky.social; on YouTube, @NirRegev.

For online Use, the credit must link to https://thenaturalaristocrat.com wherever the platform allows a link. Where a particular placement cannot carry a live link, such as an Instagram caption, the full written credit, including TheNaturalAristocrat.com, is still required, and the inability to link never excuses the credit.

Using or publishing the Content without the required credit is a material breach of these Terms and an infringement of copyright. The credit and copyright-management information are embedded in every file, so a copy published without them is a copy from which they have been removed or altered.

That removal or alteration is independently actionable under 17 U.S.C. § 1202, as is the distribution of any copy known to lack the embedded information. Each violation carries statutory damages of $2,500 to $25,000, with no requirement of registration.

There is no fee for omitting credit and no way to buy one out: in no circumstance, paid or unpaid, may the Content be published without the required credit. If it is, Live Game Deals LLC d/b/a The Natural Aristocrat, on its own behalf and as the authorized licensing representative of Nir Regev, will pursue every available remedy for that publication. Those remedies include injunctive relief together with statutory damages, attorneys’ fees, and costs that may substantially exceed any License fee.

14Metadata & Copyright-Management Information

Each photograph is delivered with embedded copyright-management information within the meaning of 17 U.S.C. § 1202. This information includes its EXIF, IPTC, and XMP metadata, the copyright notice, the credit identifying Nir Regev as author and copyright owner, the terms on which the Content is licensed, and any identifying reference number, link, or watermark.

You must retain all of that information, intact, in every copy and Use of the Content where technically feasible. You may not remove, strip, alter, obscure, or falsify it, or substitute any other party’s credit, and no License grants you authority to do so.

Removing or altering this information conceals infringement and impairs attribution. It is a material breach of these Terms and is independently actionable, and it may give rise to statutory damages and attorneys’ fees under applicable law in addition to any copyright claim.

15Releases & Clearances

The photographs of The Natural Aristocrat® are licensed for Editorial Use and, except where expressly stated in writing, no model release, property release, or other Release or permission has been obtained for any photograph. Live Game Deals LLC d/b/a The Natural Aristocrat makes no representation or warranty that any Release exists.

You are solely responsible for determining whether any Release, consent, or clearance is required for your intended Use, and for obtaining all of them at your own expense. This includes any Release or clearance in respect of any person, property, third-party trademark or logo, artwork, or right of privacy or publicity depicted.

You assume all risk and liability arising from any Use for which a required Release or clearance was not obtained.

The Content may not be put to any Commercial Use without a separate License and all necessary Releases.

16Rights of Privacy & Publicity

A person depicted in the Content has rights of privacy and publicity in their name, likeness, and persona. Using any of them for advertising or trade without that person’s written consent may violate those rights.

Editorial Use and Commercial Use draw the line. Editorial Use, as defined in these Terms, illustrates what is newsworthy, factual, educational, or documentary: news, reporting, reviews, features, commentary, and education. Commercial Use is any use that advertises, markets, promotes, endorses, solicits, or sells, and it includes sponsorship, packaging, merchandise, and any boosted or paid placement.

An Editorial Use of the Content does not ordinarily require the consent of a person depicted. A Commercial Use of their name, likeness, or persona does, and no such consent exists for the Content: as stated under “Releases & Clearances”, no Release has been obtained.

A Use of the Content that exceeds Editorial Use, or that implies the endorsement of, or association with, any person depicted, may give rise to a claim by that person that is independent of copyright.

You may not use the Content to illustrate a sensitive or controversial subject, including health, addiction, crime, or misconduct, in a way that connects any person depicted to that subject.

Where a permitted Editorial Use could imply such a connection, your caption or accompanying text must make clear that the person depicted is not connected to the subject and appears for illustrative purposes only.

You are solely responsible for obtaining any consent such a Use requires, you assume all risk arising from the absence of that consent, and you are responsible for any resulting claim under “Indemnification”.

17Representations, Warranties & Disclaimer

The Content is the original work of Nir Regev, who is and remains its copyright owner. Live Game Deals LLC d/b/a The Natural Aristocrat licenses the Content with the authority of Nir Regev and represents and warrants that it has the right to grant the License.

This warranty does not apply to the Content as modified by you, or to the combination of the Content with any other material.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE CONTENT IS PROVIDED “AS IS” AND “AS AVAILABLE”, AND NIR REGEV AND LIVE GAME DEALS LLC d/b/a THE NATURAL ARISTOCRAT DISCLAIM ALL OTHER REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT A RELEASE EXISTS.

Without limiting the foregoing, Live Game Deals LLC d/b/a The Natural Aristocrat does not warrant the accuracy or completeness of any caption, keyword, or metadata, and you assume all risk of relying on it. No advice or information, whether oral or written, creates any warranty not expressly stated in these Terms.

18Indemnification

You agree to defend, indemnify, and hold harmless Nir Regev and Live Game Deals LLC d/b/a The Natural Aristocrat, and their agents and representatives, from and against any and all claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees. This protection covers every claim arising out of or relating to your Use of the Content or any breach of these Terms.

This obligation covers, among other things, any Use beyond the scope of your License, any failure to obtain a required Release or clearance, any alteration of the Content, and the context in which you place the Content.

It also covers any removal of credit or copyright-management information, and any claim by a person or property depicted, including a claim for violation of a right of privacy or publicity. It covers as well any claim by your own customers, users, or readers, and any Use that infringes or violates the rights of a third party.

Live Game Deals LLC d/b/a The Natural Aristocrat may assume the exclusive defense and control of any matter subject to this indemnity, at your expense, with counsel of its choice, and you agree to cooperate in that defense. You may not settle any claim that imposes any obligation, admission, or liability on Nir Regev or Live Game Deals LLC d/b/a The Natural Aristocrat without prior written consent.

Any indemnity owed by Live Game Deals LLC d/b/a The Natural Aristocrat to you is limited to a breach of the warranty above. It excludes claims relating to Releases, privacy, publicity, your modifications, or the context of your Use. It is conditioned on your prompt written notice and Live Game Deals LLC d/b/a The Natural Aristocrat’s control of the defense, and it is capped as set out under “Limitation of Liability”.

This is your sole and exclusive remedy for any breach of warranty.

19Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NIR REGEV AND LIVE GAME DEALS LLC d/b/a THE NATURAL ARISTOCRAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR GOODWILL (THAT IS, THE VALUE OF BUSINESS REPUTATION AND RELATIONSHIPS), ARISING OUT OF OR RELATING TO A LICENSE OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY AND NOTWITHSTANDING THE FAILURE OF ANY LIMITED REMEDY OF ITS ESSENTIAL PURPOSE.

THE TOTAL AGGREGATE LIABILITY OF NIR REGEV AND LIVE GAME DEALS LLC d/b/a THE NATURAL ARISTOCRAT ARISING OUT OF OR RELATING TO ANY LICENSE OR THE CONTENT WILL NOT EXCEED THE LICENSE FEE ACTUALLY PAID BY YOU FOR THE CONTENT GIVING RISE TO THE CLAIM.

These limitations form an essential basis of the bargain between the parties and apply to all claims, whether in contract, tort, or otherwise. To the fullest extent permitted by law, you waive and release Nir Regev and Live Game Deals LLC d/b/a The Natural Aristocrat from every claim, demand, and cause of action beyond the limited remedy expressly provided in these Terms.

The waiver covers every such claim arising out of or relating to a License or the Content. You agree that this limited remedy is your sole and exclusive recourse and that you assume all risk of your Use of the Content.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

20Unauthorized Use & Enforcement

Any Use of the Content beyond the scope of your License, or without a License, is a breach of these Terms and an infringement of copyright, and automatically terminates any License you hold.

You acknowledge that any unauthorized Use of the Content, or any other breach of these Terms affecting the Content, would cause Live Game Deals LLC d/b/a The Natural Aristocrat and Nir Regev irreparable harm for which monetary damages alone are inadequate.

You further acknowledge that Live Game Deals LLC d/b/a The Natural Aristocrat and Nir Regev are entitled to injunctive and other equitable relief to prevent or stop it, without the need to post a bond or to prove actual damages. That relief is in addition to every other remedy available under these Terms or at law.

Unauthorized Use is assessed at the rate for the Use actually made, at the size and reach actually attained, not the rate for any narrower or smaller use you may have paid for.

A Commercial Use (such as advertising, a billboard, point-of-sale, packaging, or merchandise) is therefore measured at Live Game Deals LLC d/b/a The Natural Aristocrat’s commercial licensing rate for that Use, which is materially higher than an editorial rate.

Because the actual damage from unauthorized Use is difficult to quantify in advance, the parties agree on a reasonable pre-estimate of that damage. That sum, equal to five (5) times the License fee that would have applied to the actual Use, is a pre-estimate and not a penalty.

That sum reflects lost licensing revenue, the erosion of the value and exclusivity of the Content, and the difficulty and cost of detecting and enforcing against unauthorized Use.

For each unauthorized Use, Live Game Deals LLC d/b/a The Natural Aristocrat, on its own behalf and as the authorized licensing representative of Nir Regev, may recover, at its election, whichever is greatest of three amounts. The first is that liquidated sum. The second is Nir Regev’s actual damages together with any profits attributable to the Use.

The third, where the Content is registered, is the statutory damages available under applicable copyright law, currently up to $150,000 per photograph for willful infringement under 17 U.S.C. § 504(c).

In each case, Live Game Deals LLC d/b/a The Natural Aristocrat may recover that amount together with reasonable attorneys’ fees and costs and with injunctive and other equitable relief, and without recovering twice for the same loss.

Separately, and in addition to any of those amounts, statutory damages of $2,500 to $25,000 attach to each violation of 17 U.S.C. § 1202, with no requirement of registration. A violation includes removing or altering the required credit or the copyright-management information, and publishing any copy from which either has been removed.

Publishing without the required credit is in every case a material breach of these Terms, whether or not the embedded information was disturbed.

An unauthorized Commercial Use of an editorial photograph may also expose you to a claim by a person or property depicted, for which you are responsible under “Indemnification”. Obtaining a License after the fact covers only Use going forward and does not release any prior unauthorized Use.

21Pricing, Approval, Payment & Taxes

Pricing is quoted per inquiry, based on the photograph and your intended Use, and scales with the size and reach of that Use. Among other factors, it reflects the circulation or print run of a publication, the audience and traffic of a website, the distribution of a film or television program, and the prominence of the placement.

The same photograph commands a different fee in a national magazine than on a small independent site, and each quote reflects the Use actually proposed.

Live Game Deals LLC d/b/a The Natural Aristocrat licenses each photograph at its sole discretion. It may decline any inquiry, from any person or entity, at any time and for any reason or no reason, and it may withdraw any photograph from licensing at any time. A withdrawal does not affect a License already confirmed.

Nothing is charged until you have reviewed and approved the quote, and unless your Confirmation grants credit terms, a License takes effect only once payment has been received in full and confirmed. Fees are stated and payable in United States dollars unless your Confirmation provides otherwise.

All fees are earned when paid and are non-refundable. No fee, and no part of one, will be returned for any reason once a License is confirmed. Choosing not to use the Content, changing your mind, or abandoning the use does not entitle you to a refund or a credit.

You are responsible for all sales, use, value-added, withholding, and other taxes and duties, other than taxes on Live Game Deals LLC d/b/a The Natural Aristocrat’s net income.

Unless your Confirmation grants credit terms, payment is due immediately: the fee is payable when the Confirmation and its invoice are issued, and no Use may begin before payment has been received in full.

Credit terms are the exception, not the default. They are a customary accommodation, extended in Live Game Deals LLC d/b/a The Natural Aristocrat’s sole discretion, chiefly to established publications and business licensees that pay on invoice, and your Confirmation must grant them expressly. Net thirty (30) days is the customary period in the licensing trade.

Where credit terms are granted, the mechanics are these. The License takes effect on the date the Confirmation is issued, so your Use may begin at once. The invoice is payable within thirty (30) days, counted from that same issue date as stated on the Confirmation, not from any later acknowledgment or first Use.

Throughout that period the License remains conditioned on payment in full by the due date. In plain terms, you may publish during the credit period, but the permission is provisional until the invoice is paid, and it becomes absolute only when payment has been received in full.

If payment is not received by the due date, the License is void from inception, and any Use made under it is unauthorized and is addressed under “Unauthorized Use & Enforcement”.

Overdue amounts accrue interest at one and one-half percent (1.5%) per month, or the maximum rate permitted by law, whichever is less, together with the reasonable costs of collection.

22License Confirmations & Verification

Every License is recorded in a written License Confirmation. The Confirmation identifies the photograph, the licensee, the permitted Use, the term, the territory, and the fee, and it carries a unique confirmation number in the form CONF-YYYY-0000.

The Confirmation and these Terms together form the entire agreement for the License. Where the Confirmation specifies terms particular to the License, those specific terms control. In every other respect these Terms apply.

Any Confirmation may be checked on the License Verification page of this site. Enter the confirmation number exactly as it appears on the document, and the page reports whether that number was issued, the photograph and license type it covers, and whether its period is in force or has ended.

Verification reports document status only. It discloses no personal details and no fee, and it is not itself a license: rights come only from these Terms and a valid Confirmation.

A document that carries a number the Verification page does not recognize is not a License Confirmation of Live Game Deals LLC d/b/a The Natural Aristocrat, and no rights arise under it. If you are offered such a document, or a Confirmation you believe has been altered, write to licensing@thenaturalaristocrat.com with a copy before relying on it.

Publishers, editors, and other third parties shown a Confirmation may verify it the same way. Verification is free and requires no account.

23Term & Termination

Each License begins on confirmation of payment and continues for the Use and period stated in your Confirmation. A License terminates automatically and immediately, without notice, if you fail to comply with any provision of these Terms.

On expiry or termination, you must cease all Use of the Content, remove it from circulation where reasonably feasible, and delete or destroy all copies in your possession or control. The sole exception is that you may retain one copy of any completed work incorporating a permitted Use, for archival purposes only.

Termination does not relieve you of any payment obligation accrued before it.

24Revocation

Live Game Deals LLC d/b/a The Natural Aristocrat may revoke a License on written notice to you. It may do so where the Content is or may become subject to a claim or dispute, where your Use is or may be in violation of these Terms, or otherwise at its sole discretion.

On notice of revocation, you must cease all Use of the Content within five (5) business days. You must also remove it from circulation where reasonably feasible, and delete or destroy all copies in your possession or control, as on termination.

If a License is revoked other than for your breach, your sole and exclusive remedy is a replacement license to comparable Content. A revocation for your breach carries no remedy at all, and no revocation of any kind entitles you to a refund.

No revocation gives rise to any other liability of Live Game Deals LLC d/b/a The Natural Aristocrat or Nir Regev, and “Limitation of Liability” applies.

25Confidentiality

The pricing, terms, and content of any quote, Confirmation, or negotiation between you and Live Game Deals LLC d/b/a The Natural Aristocrat are confidential. You may not disclose them to any third party, except as required by law or to your professional advisers under a duty of confidence.

26Force Majeure

Neither party is liable for any delay or failure to perform, other than an obligation to pay money, caused by an event beyond its reasonable control. Such events include act of God, fire, flood, epidemic or pandemic, war, act of terrorism, cyberattack, labor dispute, outage, network or hosting failure, governmental action, and other force majeure.

27Assignment

Your License and these Terms are personal to you. You may not assign, sublicense, delegate, or otherwise transfer them, in whole or in part, by operation of law or otherwise, without Nir Regev’s prior written consent, and any attempted transfer without that consent is void. Live Game Deals LLC d/b/a The Natural Aristocrat may assign these Terms to a successor or affiliate.

Subject to the foregoing, these Terms bind and benefit the parties and their permitted successors and assigns.

28Notices

Notices to Live Game Deals LLC d/b/a The Natural Aristocrat must be in writing and sent to licensing@thenaturalaristocrat.com, and are given only when Live Game Deals LLC d/b/a The Natural Aristocrat acknowledges receipt in writing; an automated reply, read receipt, or delivery report is not acknowledgment.

Notices to you may be sent to the email or postal address associated with your inquiry, order, or account, and are deemed given on delivery, or on the next business day if sent by email.

29Records & Audit

You must keep reasonable records of your Use of the Content for the term of each License and for one (1) year afterwards. On reasonable written notice, Live Game Deals LLC d/b/a The Natural Aristocrat may request those records and verify your compliance with these Terms, and you will cooperate with any reasonable request to do so.

On request, you will also provide a sample copy, tear sheet, or URL of each published Use of the Content. Where the Content appears behind a paywall or other restriction, that includes access to the page or platform at no charge.

30Governing Law & Venue

These Terms and each License are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles, and the United Nations Convention on Contracts for the International Sale of Goods does not apply.

Subject to “Dispute Resolution” below, the Superior Court of New Jersey sitting in Bergen County and the United States District Court for the District of New Jersey have exclusive jurisdiction. That jurisdiction covers any dispute arising out of or relating to these Terms or the Content.

You irrevocably consent to that jurisdiction and venue, and you waive any objection to it.

In any action or proceeding, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs.

31Dispute Resolution & Arbitration

Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Content that is not resolved informally within thirty (30) days will be resolved by final and binding arbitration.

The arbitration will be administered by JAMS under the Expedited Procedures in its Comprehensive Arbitration Rules and Procedures, before a single arbitrator, seated in Bergen County, New Jersey, and conducted in English. Any in-person proceedings will be held at a location JAMS designates within that state. Judgment on the award may be entered in any court of competent jurisdiction.

Each party will bring claims only in its individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate the claims of more than one party or preside over any class or representative proceeding.

To the extent any dispute proceeds in court under the exceptions in this section, each party knowingly, voluntarily, and irrevocably waives any right to a trial by jury.

This section does not prevent Live Game Deals LLC d/b/a The Natural Aristocrat or Nir Regev from bringing an action in court for infringement of copyright or other Intellectual Property Rights, or for injunctive or other equitable relief to protect the Content. Either party may seek interim injunctive relief from a court in aid of arbitration.

Interim injunctive relief means a temporary court order, such as a temporary restraining order or a preliminary injunction, that preserves the parties’ positions or stops ongoing harm while the arbitration goes forward. Seeking that relief is not a waiver of arbitration, and the merits of the dispute remain with the arbitrator.

Either party may also bring an individual claim within the jurisdiction of a small-claims court, so long as it remains in that court and proceeds only on an individual basis. A claim by you must be commenced within two (2) years after it arises, or it is permanently barred to the extent the law allows.

This limitation does not shorten any period available to Live Game Deals LLC d/b/a The Natural Aristocrat or Nir Regev for any claim, including a claim for infringement of Intellectual Property Rights or for fees owed.

32General

These Terms, together with your Confirmation, are the entire agreement between you and Live Game Deals LLC d/b/a The Natural Aristocrat regarding the Content, and supersede all prior or contemporaneous understandings. They prevail over any conflicting or additional terms in your purchase order or other documentation, which are rejected. These Terms may be amended only in a writing issued or accepted by Live Game Deals LLC d/b/a The Natural Aristocrat.

If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable and to reflect the parties’ intent, and the remaining provisions will continue in full force. No failure or delay in enforcing a provision is a waiver of it, and no waiver is effective unless in writing.

The provisions of these Terms that by their nature should survive do survive expiry or termination. They include those concerning ownership, credit, metadata, releases, warranties and disclaimers, indemnification, limitation of liability, unauthorized use, payment, confidentiality, governing law, and dispute resolution.

The parties are independent contractors, and nothing in these Terms creates any agency, partnership, employment, or joint venture. These Terms create no third-party beneficiary rights. Headings are for convenience only. Acceptance by electronic means is valid and binding.

In these Terms, “including” introduces examples and means “including but not limited to”. The words “include” and “includes” are read the same way.

No right or license is granted by implication, estoppel, or otherwise, except as expressly set forth in your Confirmation and these Terms. All rights not expressly granted are reserved to Nir Regev and his licensors.

For example, an informal “yes” by email or phone is not a License. Neither is a past license for a different photograph, nor a use that went unnoticed for a time. A License comes only from a Confirmation.

These Terms will not be construed against either party as drafter. In place of any such rule of construction, the parties agree that any ambiguity as to the existence or scope of a License is resolved in favor of Live Game Deals LLC d/b/a The Natural Aristocrat and Nir Regev and of the narrower Use. These Terms are drafted in English.

The English-language version controls, and any translation is provided for convenience only.
